Customer from Belarus asking for russian and english contract

We have Belarus customer who is interested in purchasing the 19 (3/4") buckle machine but need both Russian and English contract.

we agreed on that request and here is the example of the Russian version for the draft contract with English version together

1. Subject of the contract
The SELLER is to ship and the BUYER is to buy products (hereinafter referred to as the “GOODS”) on terms FCA Suifenhe  in accordance with the product specification given in SUPPLEMENT #1 attached to the Present Contract and constitute an integral part thereof, for the whole amount xxxxUSD.

1. Предмет контракта
Продавец обязуется отгрузить, а Покупатель – купить,  на условиях FCASuifenhe товар, указанный в спецификация, являющейся неотъемлемым приложением №1 к договору,  на общую сумму xxxx долларов США.

 2 Price and total amount of the contract.

2.1. All the prices are specified in the SELLER’s proposals and fixed in US dollars.
2.2. The total amount of the Present Contract is    xxxx USD  and is to be firm and not subject to any alterations.
2.3. After signing and fulfillment of the Present Contract all the expenses, including custom dues, are paid by the parties on their own territories.

2. Цены по Контракту и общая стоимость Контракта
2.1. Все цены на товары оговариваются в предложениях Продавца и обозначаются в долларах США.
2.2. Общая стоимость настоящего xxxx долларов США и остается неизменной.
2.3. Все расходы, включая таможенные, после подписания и исполнения Контракта уплачиваются сторонами на территориях своих стран.

3. Terms of delivery
3.1. Delivery terms: FCA Suifenhe.
3.2. GOODS are delivered in lots formed in the assortment, based on BUYER’s orders and availability of GOODS in the SELLER’s stock.
3.3. The order considered to be implemented after the BUYER make 30% prepayment.
3.4. Invoice comes into power after the BUYER confirms its payment. Shipment is made after full payment of the goods.
3.5. The goods must be ready for shipment within 30 days after receipt of 30% of the value of the goods, if the goods are not ready the contract is considered terminated and the Seller is obliged to return the funds previously paid by the Buyer.

3.6. The right of ownership for the GOODS shall pass to the BUYER at the moment of transfer of goods to the Buyer or the carrier.

3. Условия поставки

3.2. Поставка Товара осуществляется партиями, сформированными на основании заказов Покупателя и наличия Товара на складе Продавца.
3.3. Заказ считается принятым к исполнению, после получения 30% предоплаты за товар.
3.4. Инвойс вступает в силу с момента подтверждения Покупателем согласия на оплату по этому инвойсу.
3.5. Товар должен быть готов к отгрузке в течение 30 дней после получения 30 % от стоимости товара, в случае если товар не будет готов договор считается расторгнутым и  Продавец обязан вернуть ранее уплаченные Покупателем денежные средства.
Отгрузка производится после полной оплаты товара.
3.6. Право собственности на Товар переходит к Покупателю в момент передачи товара Покупателю либо грузоперевозчику

4. Terms of payment
4.1.The BUYER shall pay 30% of the Product specification within 90 calendar days after executing records on customs clearance is completed.

4.2. The BUYER shall pay 70% of the cost of the goods after receiving confirmation of the readiness of the goods from the Seller, namely after receiving the video on the readiness of the machine.
4.3. All payments under this Contract are made in US dollars by bank remittance to the SELLER’s account.

4. Условия оплаты
4.1. ПОКУПАТЕЛЬ должен оплатить 30% спецификации Продукта в течение 90 календарных дней после завершения записи о таможенном оформлении.
4.2. ПОКУПАТЕЛЬ оплачивает 70% стоимости товара после получения подтверждения готовности товара от Продавца, а именно после получения видео о готовности машины.

4,3. Все платежи по настоящему Договору осуществляются в долларах США путем банковского перевода на счет ПРОДАВЦА.

5. Packing and Marking
5.1. The GOODS shall be packed and marked in accordance with the demands of each kind of the GOODS.
Internal and external packing shall secure full safety of the GOODS and protect them against any breakage and damage as well as atmospheric effects.
Each carton used for packing the GOODS shall be marked three sides: top one and two opposite to each other side sides. All the covering documents such as Packing and Specification Lists as well as Marking and Technical Documentation shall be written down in English.

5. Упаковка и маркировка
5.1. ТОВАРЫ должны быть упакованы и маркированы в соответствии с требованиями каждого вида ТОВАРА.
Внутренняя и внешняя упаковка должны обеспечивать полную сохранность ТОВАРА и защищать его от поломок и повреждений, а также от воздействия атмосферы.
Каждая коробка, используемая для упаковки ТОВАРА, должна иметь маркировку с трех сторон: одна верхняя и две противоположные стороны друг друга. Все сопроводительные документы, такие как списки упаковки и спецификации, а также маркировка и техническая документация должны быть записаны на английском языке.

6. Acceptance of the GOODS
6.1. The GOODS are considered as delivered by the SELLER and accepted by the BUYER:
as to number of packages - according to shipment documents;
as to quality - according to the Quality        Certificate issued by the SELLER.
6.2. Final acceptance is to be made in the territory of the BUYER.
The GOODS are being accepted:
as to number of packages - on receipt of the GOODS from a Forwarder (Carrier);
per quality of items - not later than two weeks after receiving the GOODS and the moment of opening the package;
as to quality - not later than one month after opening the package.

1. Acceptance of the GOODS shall be made by the official representative of the BYUER in the presence of, if necessary, the official representative of the Chamber of Commerce (at BUYER’s discretion) with the execution of the report of acceptance.

6. Приемка
6.1. Товар считается доставленным Продавцом и принятым Покупателем:
по количеству - в соответствии с сопроводительными документами;
по качеству – в соответствии с сертификатом качества Продавца.
6.2. Окончательная приемка выполняется в стране Покупателя. Товары принимаются:
по количеству мест - на момент получения Товара от Экспедитора (Перевозчика);
по количеству содержимого в упаковке - не позднее двух недель после получения Товара, а также на момент вскрытия упаковки;
по качеству – не позже месяца после вскрытия упаковки.
6.3. Приемка выполняется уполномоченным представителем Покупателя с приглашением при необходимости представителя Торговой палаты (по выбору Покупателя) с оформлением акта приемки.

7. Quality and Warranty
7.1. The quality of the GOODS shall conform to the Quality Certificate issued by the supplier.
7.2. Guarantee of the machine is for 5 years  excluding any accessories or tools, under the condition of proper maneuver in daily production. Within 6 months of production if any quick-wear parts are broken or damaged the seller will send the parts accordingly upon receiving the photo or video from buyer therefor.

7. Качество и гарантия
7.1. Качество ТОВАРА должно соответствовать Сертификату качества, выданному поставщиком.
7.2. Гарантия на машину составляет 5 лет, за исключением любых принадлежностей или инструментов, при условии надлежащего маневрирования при ежедневном производстве. В течение 6 месяцев с момента изготовления, если какие-либо быстроизнашивающиеся детали будут сломаны или повреждены, продавец отправит их соответствующим образом после получения фото или видео от покупателя.

8. Claims
8.1. The BUYER can claim the SELLER for quantity as well as for quality within two weeks from the date of acceptance.
For the GOODS ensured by a warranty period claims can be made 30 days after warranty period expires in case if the BUYER has found defects within this warranty period.
8.2. The SELLER is to examine and fulfill the claim within 20 days on receipt of the claim.

8. Претензии
8.1. Покупатель может выдвинуть Продавцу претензии по количеству и качеству Товара в течение двух недель со дня приемки.

Для Товара, обеспеченного гарантийным периодом, претензии по качеству могут быть выдвинуты и в течение месяца после истечения гарантийного срока при условии, что Покупатель обнаружил дефекты в течение

10. Other terms
10.1. The present Contract can be changed or annulled only after both parties’ written consent.
All amendments and additions to the Present Contract are its inherent parts and valid only if they are made in writing and signed by both parties.
10.2. After signing the Present Contract all previous negotiations and correspondence between the parties in connection with it shall be considered null and void. The present contract exists in Russian and English in two copies. In case of divergence of the Russian version with the English, priority is given to the English one
10.3. The Duration of the Present Contract: The Present Contract comes to power from the moment of being signed and is until its full execution.

10.4. All documents for the goods (certificates, operating instructions, etc.) should be sent along with the goods.

10. Другие условия
10.1. Настоящий договор может быть изменен или аннулирован только после письменного согласия обеих сторон.
Все изменения и дополнения к настоящему договору являются его неотъемлемыми частями и действительны только в том случае, если они совершены в письменной форме и подписаны обеими сторонами.
10,2. После подписания настоящего Контракта все предыдущие переговоры и переписка между сторонами в связи с ним считаются недействительными. Настоящий договор существует на русском и английском языках в двух экземплярах. В случае расхождения русской версии с английской приоритет отдается английской
10.3. Срок действия настоящего договора. Настоящий договор вступает в силу с момента его подписания и действует до его полного исполнения.

10.4. Все документы на товар (сертификаты, инструкции по эксплуатации и т. Д.) Должны быть отправлены вместе с товаром.
